By engaging BostonxMarketing LLC ("Agency") for services or accessing our website, you agree to these Terms & Conditions. All services are governed by a signed Statement of Work or Service Agreement.
2. Services Provided
The Agency provides digital advertising management (Google Ads, Meta Ads, YouTube), conversion-focused web development, landing page optimization, and AI business agent development. Scope, timelines, and deliverables are defined in individual client agreements.
3. Payment Terms
Management fees are invoiced monthly in advance. Ad spend is billed separately and paid directly to advertising platforms or via Agency-managed billing as agreed. A 30-day written notice is required to terminate services.
4. Performance Disclaimer
While we employ best-in-class strategies backed by direct platform experience, advertising performance is subject to market conditions, platform algorithm changes, competition, and other factors beyond our control. Past results and case study metrics do not guarantee future outcomes.
5. Client Responsibilities
- Providing accurate business information and timely access to advertising accounts
- Maintaining agreed advertising budgets and funding ad accounts promptly
- Timely review and approval of creative assets, copy, and campaign structures
- Compliance with all applicable advertising platform policies and applicable law
6. Intellectual Property
Creative assets produced for your accounts become your property upon full payment. Agency methodologies, frameworks, proprietary tools, and systems remain the exclusive intellectual property of BostonxMarketing LLC.
7. Confidentiality
Both parties agree to maintain strict confidentiality of all non-public information disclosed during the engagement, including campaign performance data, business strategies, pricing, and client lists.
8. Limitation of Liability
The Agency's total liability is limited to fees paid in the immediately preceding 3-month period. We are not liable for indirect, consequential, special, incidental, or punitive damages arising from service use or campaign performance.
9. Termination
Either party may terminate with 30 days written notice. Upon termination, the Agency will transfer all account access, creative assets, and relevant data to the client within 7 business days.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts. Disputes shall first be attempted through good-faith negotiation, then mediation, and finally through courts of competent jurisdiction in Suffolk County, Massachusetts.
